The Descartes Systems Group Inc. is an established and rapidly growing software company in the Kitchener-Waterloo tech community seeking to add a Corporate Counsel to its growing legal team. This role will provide broad exposure to a variety of matters related to the management and operations of an international publicly traded technology company.
Under the Supervision of the Senior Corporate Counsel, Your Responsibilities Will Include:
- Drafting and negotiating a wide variety of commercial agreements and procurement contracts.
- Assist with coordinating global corporate filings.
- Reviewing contractor agreements and assisting with procuring adequate contractual documentation.
- Developing and revising agreement templates for various internal departments.
- Implementing and ensuring compliance with standard contracting processes and contract requirements.
- Monitoring legislative and regulatory changes in numerous jurisdictions and evaluating their impact on Descartes’ business operations.
- Assist as required on a wide array of corporate matters inherent to the day-to-day operation of a global organization.
Experience Required
- Law Degree and Membership in good standing in the law society of a Canadian province.
- Minimum of 1 year experience in drafting, negotiating and advising on a variety of commercial transactions and contracts, such as IT procurement contracts, software licensing, SaaS agreements, e-commerce, hosting arrangements, SLAs, NDAs, professional services engagements, etc.
- Knowledge of commercial law in a variety of areas relevant to technology transactions.
- Working knowledge of worldwide privacy frameworks is an asset (GDPR, CCPA, UK GDPR, PIPEDA, etc.).
- Business acumen and ability to assess issues from non-legal perspectives when providing support to product managers and other business units.
Skills and Aptitudes Required
- Sound judgment and a level of commercial sophistication gained from being on the frontlines of drafting and negotiating numerous types of technology transactions.
- Ability to work independently and as part of a team.
- Strong work ethic and professionalism.
- Ability to manage and prioritize multiple projects at the same time, effectively adapt to changes in those priorities, and handle competing demands while meeting deadlines.
- Ability to work under pressure and love of the challenges that arise in a fast-paced tech environment.
- Highly organized, with a focus on time management.
- Ability to adopt a flexible work schedule from time to time to accommodate international time zones and/or peak work periods.
- Willingness to travel very occasionally.
Location: This is a fully remote position with an option to work from our headquarters in Waterloo. This position is open to candidates throughout Canada; however, strong preference will be given to applicants in Montreal.

Sous la direction de la conseillère juridique senior, vos responsabilités incluront :
- Rédiger et négocier une vaste gamme d’ententes commerciales et de contrat d’achats.
- Participer à la préparation et le dépôt de documents corporatifs et de divulgations financières à l’échelle mondiale.
- Réviser et négocier les contrats d’entrepreneurs et veiller à respecter les exigences contractuelles et documentaires.
- Élaborer et réviser des modèles de contrats pour diverses divisions internes.
- Élaborer et renforcer les processus et exigences contractuels et veiller à leur mise en œuvre.
- Assurer une veille législative et réglementaire dans de nombreux ressorts et évaluer leur incidence sur les activités de la société.
- Fournir des conseils juridiques sur une vaste gamme de dossiers en lien avec la gestion quotidienne d’une multinationale selon les besoins.
Expérience Requise
- Diplôme en droit et membre en règle du barreau d’une province canadienne.
- Au moins un an d’expérience en lien avec la rédaction, la négociation et le conseil juridique relatifs aux contrats et transactions commerciaux : contrats de services informatiques, licences, logiciels SaaS, commerce en ligne, contrats d’hébergement, accords sur le niveau de services (SLA), ententes de confidentialité, contrats de services professionnels, etc.
- Bonne connaissance du droit commercial dans les domaines pertinents aux transactions technologiques.
- La connaissance des cadres législatifs internationaux en lien avec les données et la protection de la vie privée est un atout (GDPR, CCPA, UK GDPR, PIPEDA, etc.).
- Sens des affaires et capacité d’évaluer les enjeux d’une perspective autre que juridique dans le conseil fourni aux gestionnaires de produits et autres unités d’affaires.
Compétences et Aptitudes Requises
- Bon jugement et un certain degré de connaissances commerciales acquises lors de la rédaction et la négociation de divers types de transactions dans le domaine des technologies.
- Apte à travailler à la fois de façon indépendante et en équipe.
- Bon sens de l’éthique et professionnalisme.
- Capacité à gérer et à prioriser des projets multiples en même temps, en s’adaptant aux changements ayant une incidence sur les priorités, et habileté à gérer des demandes concurrentes dans des délais serrés.
- Aimer les défis et la pression propres à l’environnement dynamique du secteur des technologies.
- Très bon sens de l’organisation et capacité à gérer son temps de façon efficace.
- Capacité à travailler hors des heures et périodes de travail normales de temps à autre en fonction des besoins d’une multinationale opérant dans différents fuseaux horaires.
- Ouverture à voyager de façon très occasionnelle.
