Home Hardware has an exciting opportunity for a Senior Law Clerk to join our Legal team. In this role, you will be responsible for providing professional legal services to support the Corporate Counsel and our Home Hardware Dealers so their stores and businesses can thrive.

What you’ll do:

Correspond with Dealers and their counsel regarding implementation and registration of Home Hardware Stores Limited (HHSL) security, track status of Dealer security documentation, and perform the necessary follow-up.

Correspond with outside counsel in Quebec regarding the implementation of HHSL security in Québec and track same.

Follow up on return of executed security documents within established deadlines.

Manage requests for changes to HHSL security, as well as manage the execution, delivery, and reporting of postponement/discharge documentation.

Receive and respond to internal requests as to status of security matters.

Prepare appropriate reports, as applicable, of changes in HHSL security.

Conduct, or arrange to have conducted, searches of real and personal property security registration systems. Review and summarize searches.

Responsible for Teraview software including obtaining title information for properties within Ontario and occasionally arrange for registration of documents. Review and summarize Title Searches. Correspond with counsel with regards to title matters, such as requests for new easements or discharges of security.

Review and report on Dealer Application legal documentation; correspond with external legal counsel on next steps; and support the Dealer Application Review Committee’s legal due diligence, as required.

Review and summarize Dealer Applications (re., share sales, asset sales, re-organizations, etc.), while collaborating with a number of internal HHSL departments, the Dealer, and their counsel.

Assist with organizing the Shareholder General Meetings, which will include coordinating the materials for mass mailing and assigning control codes for voting to shareholders; coordinating with contractors for the hybrid shareholder meetings; and attending the meetings.
What we’re looking for:

Five to seven years’ experience in real estate law and securities registration.

A Law Clerk diploma would be considered a strong asset.

In-depth experience and a willingness to learn commercial real estate requirements specific to Home Hardware.

Strong attention to detail.

Ability to work in a fast-paced environment with changing priorities.

Excellent interpersonal skills and a desire to work as a team-member and in a collaborative environment.
