The Corporate Secretary’s Office is responsible for the corporate governance of CAE and its subsidiaries, including all matters relating to the CAE Board of Directors and committees, the CAE shareholder meetings, and the corporate records. It is looking to hire a Senior Paralegal, Corporate based in Montreal.
The role we are offering you:
Reporting to the Manager, Corporate and Securities Law & Assistant Corporate Secretary and working closely with the Vice President, Legal, the successful candidate will::
In accordance with CAE's Corporate Policies & Procedures:
Maintain the corporate records (hard copy and electronic) of CAE and its subsidiaries, including drafting resolutions and other corporate documents, and responding to information requests from various business units.
Support the formation of new corporate entities and implementation of corporate reorganizations (e.g. amalgamations, continuances, dissolutions).
Prepare/review and manage corporate filings (e.g. annual filings and declarations, extra-provincial filings, trade name registrations),powers of attorney and notarization/consularization of various documents, as needed.
Support tax, treasury, and human resources teams with various corporate actions and transactions, including acquisitions/dispositions, declarations of dividends, capital injections, and stock-based employee compensation plans.
Participate in the management of the different filings to be made with Canadian and U.S. securities regulators and with the TSX and NYSE to ensure compliance with continuous disclosure requirements (including quarterly reports, press releases, annual reports, insider reporting, material change reports, and other regulatory filings).
Participate in the preparation of documentation ahead of, and support, the annual shareholders’ meetings.
Act as principal intermediary with CAE’s Transfer Agent and Registrar.
Our ideal candidate has:
College diploma in paralegal studies (or in an appropriate discipline) or law degree.
Minimum of 5 years of relevant experience in a corporate legal department or a law firm.
High level of proficiency with Microsoft Office (Outlook, Word, Excel, and PowerPoint), corporate records management systems (experience with CorpLink is an asset), corporate filings systems, and corporate search systems.
Excellent communication skills in both French and English, both verbal and written.
Strong organizational and planning skills with an ability to shift priorities, manage several files simultaneously and work within deadlines.
Solid work ethic, good judgment, and discretion in handling sensitive information.
Ability to work collaboratively within a team and develop strong cooperative and supportive relationships based on open and honest communications.
Tendency to take initiative, with a high level of autonomy and attention to detail.
Solution-oriented and customer service mindset while working with a diverse clientele and adapting to a variety of situations and individuals.
